SOC 2 Cost and Timeline for US Startups (2026)

What a SOC 2 audit actually costs a US startup in 2026 — Type I vs Type II, auditor fees, automation platform, and total year-one spend. With a Series A vs seed-stage breakdown.

A SOC 2 audit is the US B2B SaaS compliance tax. If your enterprise prospects are asking for one — and in 2026 they almost always do — this is what it will cost, and how long it will take.

Total 2026 Cost for a US Startup

StageAutomation platformAuditor (Type I)Auditor (Type II)Policy / consultingTotal year 1
Seed (≤30 people)$8K – $18K$8K – $15K$12K – $25K$0 – $5K$20K – $45K
Series A (30–100)$12K – $28K$12K – $20K$18K – $35K$5K – $15K$35K – $75K
Growth (100–500)$25K – $60K$20K – $35K$30K – $70K$10K – $40K$75K – $180K

Year 2 costs drop 30–50% once initial policy work is done and the first audit cycle is complete.

Type I vs Type II

Type I is a point-in-time attestation — "on this date, these controls were designed correctly". Fast and cheaper, but most enterprise buyers now treat it as a weak signal. Useful as a bridge if you need something before you can complete a six-month observation period.

Type II is what buyers actually want. It observes the operating effectiveness of controls over 6–12 months. Expect:

  • 6 months is the minimum observation window most auditors accept.
  • 9 months is the sweet spot for first-timers (lets you fix a control if it fails early in the window).
  • 12 months is standard for renewals.

If you're pre-revenue, start with Type I to unblock pipeline and transition to Type II at the next audit cycle. If you have signed logos asking for SOC 2, go straight to Type II and plan for a 9-month timeline.

Where the Money Goes

Compliance automation platform (30–40% of year-1 spend). Vanta, Drata, Secureframe, Sprinto, Scrut and others sit at ~$8–30K/year for startups. They do evidence collection, control monitoring, and policy templates. For a seed-stage team, the automation platform is cheaper than hiring one GRC person.

Auditor fees (30–45%). A CPA firm licensed in your state does the attestation. Prices vary heavily by firm size and scope:

  • Boutique SOC 2 specialists (Prescient, Johanson, Insight Assurance, A-LIGN's lower tier): $8K–$18K Type I, $12K–$28K Type II for a seed-stage single-product scope.
  • Mid-size CPA firms: $15K–$35K.
  • Big-four and Schellman: $35K–$80K+. Overkill for most startups.

Get three quotes. Prices for identical scope swing 2–3x across firms.

Internal time (hidden 20–30%). A seed-stage founder or senior engineer typically burns 60–120 hours getting SOC 2-ready in the first 3 months. Price that at your fully-loaded rate.

Consulting / vCISO (optional, 10–20%). If no one on the team has done SOC 2 before, a readiness consultant for the first 3 months is $5K–$20K. For later stages, consider a fractional CISO at $3–8K/month.

Timeline

  • Weeks 1–4: Scope the audit (which product, which systems, which TSC categories). Pick an automation platform. Begin policy drafting.
  • Weeks 5–12: Close control gaps (MFA everywhere, logging, access reviews, vendor management, incident response plan). Collect first evidence.
  • Month 3: Start the Type II observation window.
  • Month 9: Field work with the auditor. 2–3 weeks of interviews and evidence review.
  • Month 10–11: Receive the report.

Many startups try to compress this to 4 months. It's possible for Type I; impossible for a meaningful Type II.

Scope Decisions That Save Money

  • One product, one environment. Multi-product scope doubles auditor hours.
  • US-only or add a region later. Multi-region scoping adds cost without buyer value in year 1.
  • Common Criteria only + Confidentiality. Skip Availability and Processing Integrity unless a customer specifically asks. Many startups add Privacy only if GDPR is already a factor.
  • Grey-box pen test, not full red team. You'll need an annual pen test; keep it scoped.

When Not to Do SOC 2 Yet

  • No signed logos or imminent deals requiring it. Spend the money on sales.
  • A single enterprise prospect is asking for it. First check if a signed security questionnaire and MSA can unblock them.
  • You're in a regulated industry where HIPAA or PCI DSS is the actual requirement; SOC 2 may be redundant.
